General Terms and Conditions (“GTCs”) - Effective from 20.09.2020

megeni.com is an online platform for medical services, we help you and other Users (i) to find Medical Treatment options and (ii) to connect to Clinics (“Services”). These GTCs govern your use of (i) megeni.com and (ii) mobile application megeni (“megeni.com”) and your relationship with Megeni. By accessing and using megeni.com, you agree that you have read, understood and accepted the GTCs including any additional terms and conditions and any policies referenced herein. If you do not agree with these GTCs, please do not use megeni.com. Megeni may be used by natural persons who have reached 18 years of age. Users below the age of 18 must obtain consent from parent(s) or legal guardian(s), who by accepting these GTCs shall agree to take responsibility for your actions and any charges associated with your use of megeni.com. If you do not have consent from your parent(s) or legal guardian(s), you must stop using/accessing megeni.com immediately.

What megeni.com does

Megeni.com is a search engine which helps you and other Users to find a wide variety of Medical Treatment options in many countries. After you have chosen a location and a treatment we show you Results and after choosing a Clinic and filling out the connected Questionnaire, we will reach out to you via email with the Options. You in your sole discretion decide if you want to progress further and contact the Clinic and enter into an agreement with them and actually order the Medical Treatment. Please note, Megeni is neither a health provider, nor an agent of the Clinic, or a reseller of Medical Treatment furthermore does not provide information on any health risks. This means when you decide to contact a Clinic, you enter into a contractual relationship directly with the Clinic and the Clinics are responsible for providing advice on health risks, preparation, condition and quality of the performed Medical Treatments and any services or products provided in connection with this. You acknowledge and agree that any complaints or claims in respect of the Medical Treatment (including price, policy or specific requests) or related services and products are to be dealt with by the Clinic.

How to use megeni.com

If you decide to fill out the Questionnaire you must include a valid information, you promise to only provide information and content that you have the right to share. When using our Platform you must not: * violate these GTCs, * copy, scrape, (hyper-/deep)link to, publish, promote, market, integrate, utilize, combine or otherwise use the content (including any translations thereof and the reviews) or our brand without our express written permission, * use, copy, reproduce, republish, upload, post, transmit, distribute, or modify the Marks in any way without our prior express written consent. * violate of any local, state, or federal laws or regulations, * allow any other person or entity to use your identification for posting or viewing The above is a non-exhaustive list of the types of conduct that are illegal or prohibited on megeni.com and Megeni reserves the right to investigate and take appropriate legal action against anyone who, in Megeni's sole discretion, engages in any of the prohibited activities, suspend or terminate a user’s access to megeni.com upon any breach (or suspected breach in Megeni’s sole discretion) of these GTCs.

Intellectual Property

Megeni.com is provided for your personal, non-commercial (B2C) use only, Megeni reserves and retains ownership of all rights, title and interest in and to all intellectual property rights in megeni.com registered or unregistered (including the look and feel, infrastructure, reviews, translated content and Marks) and nothing in this GTCs will be deemed to grant to you any right to receive a copy of software, or any other Megeni technology, in either object or source code form. Further, you acknowledge and agree that Megeni owns all right, title and interest in and to the Aggregate Information it develops and may use Aggregate Information to provide and improve Megeni’s products and services and for sales, marketing and other business purposes. As between you and Megeni, you own the content and information that you submit to Megeni through megeni.com, per email or otherwise, you are granting Megeni in connection with it the following non-exclusive license: a worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process, information and content. No representations or warranties

You acknowledge and agree that the content on megeni.com is provided on an “as is” and “as available” basis, and that your use of or reliance upon megeni.com and any content or services accessed or obtained thereby is at your sole risk and discretion. While Megeni makes reasonable efforts to ensure the provision of megeni.com and Megeni’s services are available at all times, Megeni do not warrant or represent that megeni.com is provided in a manner which is secure, timely, uninterrupted, error-free, free of technical difficulties, defects or viruses. Limitation of Liability Megeni shall have the right - in its sole discretion, without any liability to you - to refuse to provide services (especially where this is not feasible, possible or commercially reasonable). To the extent permitted by law, Megeni (including its employees, directors, agents, representatives) excludes all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with Megeni.com, our services and any content or material posted on it (including any health related information or the lack of such) any website linked to megeni.com and any content or material posted on it and any medical Treatments by the Clinics, especially Megeni shall neither be liable for actions or omissions of the Clinics nor you in regard to provision of the Services, Megeni does not assume any liability for the quantity, quality, condition or other representations of the services and Medical Treatments provided by Clinics or guarantee the accuracy or completeness of the information provided by the Clinic. Your exclusive remedy with respect to your use of megeni.com is to discontinue your use of megeni.com. Megeni (including its agents, employees and representatives) shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of megeni.com or for any other claim related in any way to your use of megeni.com. These exclusions for indirect, special, consequential, and exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, work stoppage, computer failure, or malfunction, or any other commercial damages or losses. Indemnity You agree to indemnify, defend, hold harmless Megeni (and its directors, officers, employees, representatives, agents) from any and all third party claims, liability, damages and/or costs (including but not limited to, legal fees) arising from your use of megeni.com and your breach of these GTCs. Termination If you wish that the questionnaire is not further processed or your personal data shall be deleted, please …. Megeni shall have the right to terminate, suspend or delete your (or any) access to megeni.com for any reason, in its sole discretion, especially if it considers your use to be unacceptable, or in the event of any breach by you of the GTCs. Megeni may, but shall be under no obligation to, provide you a warning prior to termination of your use of megeni.com. Amendments Megeni may amend these GTCs (including Privacy Policy and Cookie Policy) at any time in its sole discretion. The amended GTCs shall be effective immediately upon posting and you agree to the new GTCs by continued use of megeni.com. If you do not agree with the amended GTCs, whether in whole or in part, you must stop using megeni.com immediately. Severability If any provision of these GTCs is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these GTCs, which shall remain in full force and effect. No waiver of any provision in these GTCs shall be deemed a further or continuing waiver of such provision or any other provision. Governing Law These GTCs shall be governed and construed in accordance with the laws of Hungary and shall be submitted to the jurisdiction of Hungarian courts. Where obligatory country-specific provisions are applicable, these GTCs shall be subject to these country-specific provisions for the time they are in force. Due to the laws in some countries, certain Medical Treatment options are prohibited by law, therefore any Results containing prohibited Medical Treatments shall be deemed void and disregarded in regard to that country. Prevailing Language In the event of a dispute as to the GTCs, the English version shall prevail.
